Terms of Service

These Website Terms of Service (“Terms”) govern your access to and use of the SR Direct website located at www.sr-direct.com and any pages that link to these Terms (collectively, the “Site”). The Site is operated by SR Direct LLC, a Florida limited liability company (“SR Direct,” “we,” “us,” or “our”), from 390 NE 191st Street, STE 8952, Miami, FL 33179.

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

No Medical Advice; No Patient-Provider Relationship.

The Site provides general information about SR Direct’s services. Nothing on the Site is medical advice, diagnosis, or treatment, and your use of the Site does not create a patient-provider relationship. Do not submit protected health information (PHI) through the Site.

1) Eligibility & Scope

You must be at least 18 and able to enter a binding contract to use the Site. These Terms apply only to the Site and related marketing workflows (e.g., inquiry forms, checkout, scheduling). If you later purchase services, sign a Master Services Agreement, BAA, or any other agreement with SR Direct, the terms of those agreements will control those services.

2) Use of the Site; Acceptable Use

You may view and use the Site for your internal business purposes and to explore SR Direct’s offerings. You agree not to:

3) Accounts; Checkout; Third-Party Services

Certain features may require you to provide information or use third-party services:

No PHI: Do not upload PHI or patient data to the Site. If you later access SR Direct services that involve PHI, those activities are governed by separate contracts (e.g., BAA), not these Terms.

4) Intellectual Property; Feedback

The Site, its contents, and all IP rights therein are owned by SR Direct or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable license to access and use the Site as permitted by these Terms.

If you submit feedback or suggestions, you grant SR Direct a perpetual, worldwide, irrevocable, royalty-free license to use, copy, modify, and commercialize such feedback without restriction.

5) Publicity; Testimonials

If you provide a testimonial, quote, case study, or logo usage permission, you grant SR Direct the right to use it on the Site and in marketing materials, subject to any written limitations you specify. We will not disclose PHI or confidential facility information without written consent.

6) No Medical, Legal, or Compliance Advice

The Site may reference regulations (e.g., HIPAA, CPOM, Stark/AKS, state NP rules) at a high level. Such content is informational only and not medical, legal, or compliance advice. You should obtain independent advice for your situation.

7) Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SR DIRECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES.

8) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SR DIRECT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SR DIRECT’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain limitations; in such cases, liability will be limited to the maximum extent permitted by law.

9) Indemnification

You will defend, indemnify, and hold harmless SR Direct, our affiliates, and our respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms or applicable law; or (c) content you submit.

10) Third-Party Links

The Site may contain links to third-party sites or services (e.g., Stripe, Calendly, social media, analytics). We are not responsible for their content or practices. Your use of third-party services is at your own risk and governed by their terms and policies.

11) Changes to the Site & Terms

We may update the Site and these Terms from time to time. Changes are effective when posted with a new “Last Updated” date. Your continued use constitutes acceptance. If you do not agree, stop using the Site.

12) Governing Law; Dispute Resolution; Class Waiver

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

Binding Arbitration. Any dispute arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat/place of arbitration shall be Miami-Dade County, Florida. Either party may seek injunctive relief in a court of competent jurisdiction for IP or confidentiality breaches.

Class Action Waiver. Disputes will be resolved only on an individual basis. You waive any right to participate in a class, collective, or representative action.

Opt-Out. You may opt out of the arbitration/class waiver within 30 days of first agreeing to these Terms by emailing legal@srdirect.com with subject “Arbitration Opt-Out” and your full name and address.

13) Miscellaneous

These Terms are the entire agreement between you and SR Direct regarding the Site. If any provision is unenforceable, it will be modified to the minimum extent necessary; the remainder will remain in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, sale, or reorganization.
